The General Conditions of Sale apply to all offers and services carried out on the site https://orthopaedic.studio/  by Orthopaedic Studio® S.A.S, listed on the company registry of Lyon under the number 494 513 591 at the following address: 315 allée des Hêtres 69760 Limonest.

Prior to any transaction, the customer acknowledges having read these general conditions and expressly declares to accept them when he clicks on the “Order validation” button.

The customer is aware that in order to help him choose the products and services best suited to his needs, the customer service department is available by telephone from Monday to Thursday from 8.30am to 12.30pm and from 1.30pm to 5.30pm and on Friday from 8.30am to 12.30pm and from 1.30pm to 4.30pm on 04.72.35.07.43 and by e-mail contact@orthopaedic.studio

1) Application of the Terms and Conditions of Sale

These terms and conditions apply to all products and services offered for sale by Orthopaedic Studio® S.A.S on its website  https://orthopaedic.studio/.

The fact of proceeding to a purchase implies full and complete acceptance of these terms and conditions of sale. Orthopaedic Studio® S.A.S reserves the right to modify its conditions of sale at any time. In such a case, the General Conditions of Sale will be those in force at the date of the order of the customer.

2/ Special Conditions of Sale

The customer acknowledges having read, at the time of placing the order, the special conditions of sale stated on the screen (name, price, quantity, particularities of the products and services, cost of the products and services, etc.) and expressly declares that he/she accepts them without reservation. By submitting an order, the customer confirms his full acceptance of the Special Conditions of Sale, which are exclusively applicable only to the order.

3/ Ordering

Orders are to be placed exclusively through the website  https://orthopaedic.studio/

The contractual information is provided in French and will be confirmed by e-mail once your order has been accepted.

When you click on the “Confirm” button after the order process, you declare that you have read and accepted these General Terms and Conditions of Sale in full and without reserve.

The LPPR code possibly displayed on the sheet relating to one of the products accessible on the  https://orthopaedic.studio/ provided for information only.Orthopaedic Studio® declines all responsibility in the event where the entered code would turn out to be incorrect. The Client, an independent trader, is solely responsible for his invoicing and the LPPR codes entered within the framework of the latter.

4/ Prices and Terms of Payment

The prices shown on the  https://orthopaedic.studio/  website are in euros, excluding taxes. For orders delivered in metropolitan France, the prices indicated are free of postage and packaging subject to the minimum order amount specified by clicking on “Suppliers” on the home page of the site.

For orders delivered to Corsica and/or the overseas departments and territories, the prices indicated do not include the cost of delivery of the products ordered and sent from the metropolitan site of the shipping company chosen by the customer and to the delivery address indicated on the order form. All costs related to this delivery (in particular transport costs, taxes, sea grants, regional sea grants, customs clearance costs, value added tax, etc.) are at the exclusive charge of the customer. Payment shall be made directly to the carrier of his choice and to the competent authorities.

Orthopaedic Studio® S.A.S reserves the right to change any price at any time, it being understood that the price appearing on the site on the day of the order and included in the order confirmation will be the only one that will apply to the customer.

The total price indicated on the customer’s order invoice is the final price, including all taxes. The price of any delivery charges from the carrier’s site in mainland France to the place of delivery indicated on the order form chosen by the customer and possibly due by the latter (deliveries in Corsica and DROM-TOM, or deliveries in mainland France for an amount lower than the minimum order thresholds) is not shown  on the invoice. They will be paid in addition by the customer directly to the carrier and the administrations concerned.

Invoices corresponding to the Client’s orders are due within 30 days of the end of the month.

By way of derogation, if the Customer’s behaviour or information known to him gives rise to reasonable doubts as to the payment of the goods and/or services ordered, Orthopaedic Studio® may require payment on account and refuse to deliver the goods and/or services ordered until full payment of its invoice.

Payment for orders is made by direct debit on the due date of the invoice. The customer must have provided Orthopaedic Studio® with a direct debit authorization from his bank before the first order or before any new order if the account on which the direct debit has been authorized is modified.

In addition, in case of delay of payment of a single invoice on its due date, Orthopaedic Studio® S.A.S will be able to apply the following sanctions: -An increase of 8% of the outstanding amounts due by the client, -All orders placed by the client with Orthopaedic Studio® and not yet delivered will be suspended (the goods and services ordered will not be delivered) until full payment by the client of the invoice(s) remaining unpaid, and of the price of the goods and services ordered and awaiting delivery. -Orthopaedic Studio® S.A.S. will require the Client, once the arrears have been cleared, to pay for all future orders at the time they are placed. No order will be delivered until the Client has made full payment for his new order.

Penalties for late payment are payable without the need for a reminder. They shall run automatically from the day following the due date of the invoice.

No discount for early payment will be granted.

5/ Reservation of ownership

Orthopaedic Studio® S.A.S. remains the owner of the goods delivered until full payment of the purchase price. Consequently, in case of non-payment, Orthopaedic Studio® S.A.S. may take back the unpaid goods from the client, or mandate any third party to do so. The sale will also be cancelled by operation of law. In any case, the costs of taking back the goods will be borne by the customer.

The customer bears the risks (loss, theft, destruction, etc.) from the time the goods are delivered by Orthopaedic Studio® S.A.S. to the carrier.

6/ Delivery problems – product quality and compliance

Deliveries are made to the address indicated on the order form.

The risks associated with transport are borne by the customer. In case of damage during transport, a complaint must be made to the carrier within three working days of delivery. In addition,  precise and
clear observations  must be made on the delivery note.

7/ Confidentiality

The Client undertakes to keep the financial conditions, in particular the selling price of the products and services listed on the site  https://orthopaedic.studio/,  strictly confidential, without any time limit. The Customer guarantees that this confidentiality obligation will be respected by any person who may have knowledge of the sale prices of the products and services  listed on the website  https://orthopaedic.studio/ as a result of his  actions.

Any violation by the Customer or anyone who may be informed of the sales prices of the products referenced on the  site  https://orthopaedic.studio/,  of the obligation of confidentiality stipulated in this article shall result in the Customer being obliged to pay the Supplier a fixed indemnity of 30,000 €.

8/ Personal data

The personal data collected by the Supplier directly from the Customer  on the  https://orthopaedic.studio/  website are subject  to automated processing for the following purposes

– The management of orders placed  by  the Customer, in particular their preparation and delivery,

– The management of the Supplier’s general accounting,

– The management of any difficulties linked to the deliveries made.

This information is intended exclusively for the Supplier’s accounting department, sales department and sales administration department. The IT service provider who ensures the operation and maintenance of the site https://orthopaedic.studio/, the company STUDIO SYTEMS (a simplified joint stock company with a single shareholder whose registered office is located at 315, allée des Hêtres, 69760 LIMONEST, registered in the LYON trade and companies register under number 750 294  530), also has access to it.

The data collected will be kept for 10 years for the accounting data and until the payment, or until the delivery if this is later, of the products and services ordered for the other data. In the event of a dispute between the Supplier and the Customer, or of a complaint by the latter, the data will however be kept for the duration of the dispute or until the complaint is dealt with.

In accordance with Regulation (EU) 2016/679 on the protection of personal data, it is specified that each person has the following rights with respect to his or her data: right of access, right of rectification, right to erasure, right of opposition, right to restriction of processing, right to portability. Each person may also define directives relating to the conservation, erasure and communication of his/her personal data after his/her death.

Each person may, on reasons relating to his or her particular situation, object to the processing of data concerning him or her.

Any person who is the victim of a breach of one of the above-mentioned rights may lodge a complaint with the CNIL (https://www.cnil.fr/).
